1. Introduction

By accessing or using our services, clients and users agree to these Terms.

• Product scaling services

3. Client Responsibilities

Clients agree to:

• Provide accurate information
• Provide timely approvals and feedback
• Ensure lawful usage of systems
• Maintain confidentiality of credentials
• Avoid misuse of infrastructure
• Obtain rights to any content or data shared with Best Labz
• Cooperate during project execution and testing

Delays caused by missing approvals, scope changes, or incomplete requirements may impact timelines and delivery schedules.

4. Scope Management

Project scope, milestones, timelines, and deliverables shall be governed by:

• Master Service Agreements (MSA)
• Statements of Work (SOW)
• Proposals
• Approved quotations
• Subscription plans
• Enterprise contracts

Any material changes may require revised timelines, budgets, or technical architecture adjustments.

5. Intellectual Property

5.1 Client-Owned Deliverables

Upon completion of payment obligations, clients may obtain rights to agreed deliverables as defined under specific contracts.

5.2 Best Labz Retained Assets

Best Labz retains ownership of:

• Internal frameworks
• Reusable architecture
• Development utilities
• Generic libraries
• Deployment methodologies
• Internal tools
• Platform accelerators
• Non-client-specific components
• Pre-existing intellectual property

5.3 Third-Party Components

Some projects may include open-source or third-party software governed by their respective licenses.

6. Confidentiality

Both parties agree to maintain confidentiality regarding:

• Business information
• Technical documentation
• Product roadmaps
• Source code
• Pricing information
• Operational workflows
• Infrastructure details
• Customer data

Confidential information shall not be disclosed without authorization except where legally required.

7. Payment Terms

7.1 Commercial Terms

Commercial structures may include:

• Milestone-based billing
• Subscription billing
• Retainer agreements
• Resource engagement models
• Fixed-cost projects
• Enterprise support agreements

7.2 Delayed Payments

Best Labz reserves the right to:

• Pause services
• Suspend deployments
• Restrict access
• Delay releases
• Charge applicable late fees for overdue accounts.

7.3 Taxes

Applicable taxes including GST and international tax obligations remain the responsibility of the client unless otherwise agreed.

8. Support & Maintenance

Support obligations vary based on the selected engagement or support plan. Support may include:

• Bug fixes
• Security updates
• Operational monitoring
• Deployment assistance
• Performance optimization
• Infrastructure support
• Technical consultation

Custom SLAs may apply for enterprise clients.

9. Acceptable Use

Users may not:

• Use services for unlawful activities
• Attempt unauthorized access
• Distribute malware
• Reverse engineer protected systems
• Exploit vulnerabilities
• Conduct fraudulent transactions
• Violate intellectual property rights
• Abuse infrastructure resources
• Interfere with service availability

Best Labz reserves the right to suspend accounts involved in prohibited activities.

10. Data & Security Responsibilities

Clients are responsible for:

• Managing authorized users
• Protecting credentials
• Ensuring lawful data usage
• Maintaining internal compliance obligations
• Reviewing access permissions

Best Labz implements commercially reasonable technical and operational safeguards but does not guarantee absolute security.

11. Third-Party Services & Integrations

Our systems may depend on third-party infrastructure or APIs including:

• Cloud providers
• Payment gateways
• Messaging providers
• ERP integrations
• Government APIs
• AI platforms
• Communication systems

Best Labz is not liable for disruptions caused by external providers beyond reasonable operational control.

12. Service Availability

While we strive for operational reliability and scalable architecture, uninterrupted service availability cannot be guaranteed.

Scheduled maintenance, infrastructure failures, third-party outages, or unforeseen operational events may affect service availability.

13. Warranties Disclaimer

Services and software are provided on an "as available" and "as is" basis.

Except where explicitly agreed in writing, Best Labz disclaims implied warranties including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted operation
• Error-free performance

14. Limitation Of Liability

To the maximum extent permitted by law:

• Best Labz shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• Liability shall generally not exceed the amount paid by the client to Best Labz during the preceding twelve (12) months for the relevant services.

This limitation applies regardless of legal theory.

15. Indemnification

Clients agree to indemnify and hold harmless Best Labz from claims arising from:

• Illegal use of services
• Client-provided content
• Regulatory violations
• Intellectual property violations caused by client materials
• Unauthorized third-party integrations initiated by clients

16. Termination

Either party may terminate services under applicable agreements. Best Labz may suspend or terminate access for:

• Payment defaults
• Security violations
• Illegal activities
• Material breach of agreement

Upon termination:

• Access may be revoked
• Infrastructure may be decommissioned
• Data retention rules may apply
• Transition support may be offered under separate commercial terms

17. Force Majeure

Best Labz shall not be liable for delays or failures caused by events beyond reasonable control including:

• Natural disasters
• Internet outages
• Government actions
• Cyber attacks
• Infrastructure failures
• Pandemic events
• Cloud provider disruptions
• Labor disputes

18. Governing Law

These Terms shall be governed by the laws of India.

Subject to applicable agreements, disputes shall be subject to arbitration and/or jurisdiction of courts located in Tamil Nadu, India.

19. Modifications

Best Labz may update these Terms periodically.

Continued usage after updates constitutes acceptance of revised Terms.
